Draft - to be reviewed by a lawyer before launch.
These are the terms for using the Proxen website and the Proxen service. "We" and "us" mean Proxen (a product of Surehand, surehand.io); "you" means the person or company using the site or service. By using either, you agree to these terms.
The service
Proxen is an access layer that sits between your team's tools and the AI providers your company has accounts with. We issue keys per person, apply the model lists, budgets and caps your admins set, log request metadata, and forward requests to the providers. What each engagement includes (setup, hosting, support, retention) is set out in your order with us.
Your accounts and your responsibilities
The provider accounts used with the service belong to your company and are agreed with you in your order. You are responsible for the people you give keys to and for what they send through the service. You must not share one key between people, or send content that breaks the law or a provider's usage policy.
Our responsibilities
We will run the service with reasonable care and skill, keep your provider keys server-side and encrypted, apply the budgets and caps you set, and not store prompt or response bodies unless your admin switches that on. We will tell you about planned downtime where we can.
Fees
Fees are set out in your order and are billed monthly unless agreed otherwise. Provider usage under your own accounts is billed to you by those providers, not by us, unless your order says differently.
Data
How we handle data is described in our privacy policy. Your keys, logs and configuration belong to your company; we delete them on request when an engagement ends.
Liability
We are not responsible for the output of any AI model, for a provider's availability, pricing or policy changes, or for losses caused by keys you have given out. Our total liability to you in any twelve-month period is limited to the fees you paid us in that period, except where the law does not allow such a limit.
Ending the agreement
Either side can end the engagement with the notice set out in your order. Because the provider accounts are yours, ending the service does not stop your access to the providers; it only removes the Proxen layer.
Changes and contact
We may update these terms and will tell you when we do. Questions: hello@proxen.si, or use the form at /contact-us.
